Lonavity Quote System End-User License Agreement

LONAVITY QUOTE SYSTEM END-USER LICENSE AGREEMENT

Effective date: June 14, 2026

1. AGREEMENT

This End-User License Agreement governs access to and use of the Lonavity Quote System.

By accessing, connecting, or using the application, you confirm that you are authorized to act for Lonavity and agree to these terms.

Do not use the application if you do not agree to these terms.

2. APPLICATION PURPOSE

The Lonavity Quote System is a business application used to:

• prepare and manage customer quotations;
• retrieve product and pricing information;
• calculate labour, miscellaneous charges, markup, and taxes;
• create estimates in QuickBooks Online; and
• maintain records concerning quotation and QuickBooks synchronization status.

The application is intended for Lonavity’s internal business operations and authorized users only.

3. LIMITED LICENSE

Lonavity grants authorized users a limited, revocable, non-exclusive, non-transferable licence to access and use the application solely for legitimate Lonavity business purposes.

No ownership rights are transferred under this agreement.

4. AUTHORIZED USE

Users must:

• use the application only for lawful business activities;
• provide accurate information;
• protect account credentials and access devices;
• access only information they are authorized to view or modify;
• verify quotations and estimates before sending or relying on them; and
• promptly report suspected unauthorized access, errors, or security incidents.

Users must not:

• share access with unauthorized persons;
• attempt to bypass authentication or security controls;
• copy, resell, sublicense, reverse engineer, or commercially distribute the application;
• interfere with the application, its servers, databases, or connected services;
• introduce malicious code or perform unauthorized security testing; or
• use customer or accounting information for unauthorized purposes.

5. QUICKBOOKS ONLINE CONNECTION

The application may connect to QuickBooks Online through Intuit’s authorization process.

An authorized QuickBooks administrator must approve the connection.

The application does not request or store the user’s QuickBooks password. Intuit handles QuickBooks authentication.

Users remain responsible for:

• ensuring that they have permission to access the connected QuickBooks company;
• verifying customer, product, tax, price, and estimate information;
• reviewing estimates created in QuickBooks Online;
• correcting inaccurate information; and
• disconnecting the application when access is no longer required.

QuickBooks Online and Intuit are third-party services governed by their own terms and policies.

6. DATA AND PRIVACY

The application may access or process customer, quotation, product, pricing, tax, accounting, company, and authorization information necessary to provide its functions.

Users must not enter information into the application unless Lonavity is authorized to collect, use, and process it.

7. INTELLECTUAL PROPERTY

The application, its design, source code, databases, documentation, branding, and related materials are owned by Lonavity or its licensors and are protected by applicable intellectual-property laws.

QuickBooks, Intuit, Shopify, Cloudflare, and other third-party names and trademarks remain the property of their respective owners.

8. THIRD-PARTY SERVICES

The application may depend on third-party services, including QuickBooks Online, Shopify, Cloudflare, internet providers, and hosting or infrastructure services.

Lonavity does not control these third-party services and is not responsible for their availability, security, functionality, pricing, changes, or termination.

9. AVAILABILITY AND CHANGES

Lonavity may update, modify, suspend, restrict, or discontinue any part of the application at any time.

The application may occasionally be unavailable because of maintenance, technical problems, internet outages, security incidents, or third-party service interruptions.

Lonavity does not guarantee uninterrupted or error-free operation.

10. NO PROFESSIONAL ADVICE

The application is a business calculation and data-transfer tool.

Its results do not constitute legal, accounting, tax, engineering, financial, or other professional advice.

Users are responsible for independently reviewing quotations, prices, taxes, estimates, and business decisions and obtaining professional advice when appropriate.

11. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the application is provided “as is” and “as available.”

Lonavity disclaims all warranties that are not expressly provided in this agreement, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Lonavity will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, loss of data, business interruption, or costs arising from reliance on inaccurate quotations or estimates.

Nothing in this agreement excludes liability that cannot lawfully be excluded or limited.

13. SUSPENSION AND TERMINATION

Lonavity may suspend or terminate access when:

• a user is no longer authorized;
• these terms are violated;
• access creates a security or legal risk;
• the connected QuickBooks authorization is revoked;
• the application is discontinued; or
• termination is otherwise necessary to protect Lonavity, its customers, or its systems.

Upon termination, the user must stop using the application.

Sections concerning privacy, intellectual property, disclaimers, limitations of liability, and legal obligations survive termination where applicable.

14. GOVERNING LAW

This agreement is governed by the laws of Canada and the laws of the province in which Lonavity’s principal place of business is located, without regard to conflict-of-law rules.

15. CHANGES TO THIS AGREEMENT

Lonavity may update this agreement when the application, connected services, legal requirements, or business practices change.

The updated agreement will be posted publicly with a revised effective date.

Continued use after an update constitutes acceptance of the revised agreement.
